In ***Intelligence Consulting Enterprise Solutions, Inc. (ICES)***, B-424433.3, B-424433.7 (decided August 11, 2026), GAO sustained a protest challenging the terms of the Department of the Army’s **Marketplace for the Acquisition of Professional Services (MAPS)** solicitation (RFP No. W15P7T26RA006). The statutory language states that for these large requirements, agencies must solicit bids from small business concerns providing for the use of a *"particular team of subcontractors* ***or*** *a joint venture."* - **The Army’s Argument**: The Army contended that because Congress used the disjunctive conjunction **"or"** instead of **"and,"** procuring agencies possess the clear discretion to structure their solicitations to allow *either* prime/subcontractor teaming *or* formal joint ventures. Since it permitted JVs, the Army argued it was under no obligation to permit subcontractor teams. - **The GAO’s Ruling**: GAO completely rejected this agency-centric view. Agencies can no longer force small businesses into formal, complex, and legally expensive joint ventures as their only path to pool resources. 2. **Mandatory Evaluation of Subcontractor Capabilities**: Under **13 C.F.R. § 125.2(g)**, if a small business prime contractor specifically identifies first-tier small business subcontractors in its proposal, the procuring agency **must** consider the capabilities, past performance, and experience of those first-tier subcontractors as the capabilities and experience of the prime contractor itself. This is a game-changer for smaller primes that lack extensive prime past performance on massive, multi-domain vehicles. 3. **Active Solicitations Must Be Amended**: Agencies currently planning or executing large-scale Multiple Award Contracts (MACs) or IDIQs will be forced to review and amend their solicitation instructions to align with this ruling, removing any restrictive language that blocks subcontractor-based teaming or CTAs. --- ### **STRATEGIC ACTION PLAN FOR YOUR BUSINESS** 1. **Re-evaluate Your "No-Bid" Decisions**: Review any massive federal IDIQ or MAC solicitations that you recently passed on due to strict "no teaming" or "no subcontractor" past performance rules. If the vehicle is consolidated or above the substantial bundling threshold, you now have the legal right to propose a small business subcontractor team. 2. **Form Subcontractor Teaming Alliances**: Reach out to "similarly situated" small businesses with specialized niches. Rather than going through the costly administrative hurdles of setting up and registering a brand-new Joint Venture entity, map out a nimble **Contractor Teaming Arrangement (CTA)** where your collective past performance can be evaluated as a single, cohesive unit. 3. **Monitor Solicitation Compliance**: Carefully review Section L and M of upcoming RFPs.
